1. Acceptance of Terms

By accessing or using DGITAL's services and website, you agree to comply with these Terms & Conditions. If you do not agree, please do not use our services.

2. Services Offered

DGITAL provides digital media services, including video production, content creation, and branding. Full details are available on our homepage.

3. Payment & Refund Policy

  • Payments are required before work begins unless otherwise agreed.

  • No refunds or cancellations once work has been completed.

  • Revisions are available, and the number of revisions depends on the specific contract agreement. Additional revisions may incur extra fees.

4. Intellectual Property & Content Ownership

  • All content created by DGITAL remains our intellectual property, but we may grant full usage rights upon completion of payment.

  • DGITAL retains the right to use the content for promotional and portfolio purposes unless otherwise negotiated.

  • AI-Generated Content: Some content created by DGITAL may include elements generated with AI-assisted tools.

  • Human Oversight: All AI-enhanced content undergoes human review to ensure quality and alignment with client objectives.

  • Client Usage Rights: Clients receive the same usage rights for AI-assisted content as with manually created content

  • Clients may not modify, resell, or distribute content without explicit permission.

5. User Responsibilities

By using DGITAL's services, you agree to:

  • Provide accurate and necessary details for service fulfillment.

  • Not use our content in illegal, defamatory, or misleading ways.

  • Respect our intellectual property and not claim ownership of our work unless transferred in writing.

6. Limitation of Liability

DGITAL is not responsible for:

  • Any indirect, incidental, or consequential damages from using our services.

  • Issues arising from client-provided content or third-party involvement.

7. Service Refusal & Termination

DGITAL values integrity, creativity, and ethical business practices. We reserve the right to decline or discontinue service if we determine that:

  • The requested content does not align with our company values, ethical standards, is unlawful, misleading, or fraudulent.

  • The project involves material that is misleading, defamatory, harmful, or in conflict with our principles.

  • There is a misalignment in vision or working relationship expectations that would prevent a successful collaboration.

  • There is non compliance with our terms

 

We make these decisions on a case-by-case basis and strive to ensure that all engagements reflect the creative and professional standards we uphold.

We may also terminate a contract if the client fails to meet payment terms or violates policies.

8. Dispute Resolution & Arbitration Clause

If a dispute arises between DGITAL and a client, the parties agree to resolve the dispute exclusively through binding arbitration, rather than in court.

 

Mandatory Arbitration: Any dispute, controversy, or claim arising from or related to DGITAL's services shall be resolved by final and binding arbitration, conducted under the rules of the ADR Institute of Canada or an agreed-upon arbitration provider.

 

No Lawsuits: By agreeing to these Terms, both parties waive their right to file a lawsuit and agree that the arbitrator’s decision will be final, enforceable, and non-appealable, except as required by Canadian law.

 

Location & Governing Law: Arbitration shall take place in Ontario, Canada, and will be governed by the laws of Canada.

 

Costs: Each party shall bear its own arbitration costs unless otherwise decided by the arbitrator.

9. Governing Law

These Terms & Conditions shall be governed and interpreted under the laws of Ontario, Canada. Any disputes, claims, or legal matters arising from this agreement shall be handled exclusively within the jurisdiction of Ontario, unless otherwise required by Canadian law

10. Changes to These Terms

We may update these T&Cs periodically. Continued use of our services after changes means acceptance of the updated terms.
